1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of sourcepointcap.com and any related services operated by Source Point Capital ("Source Point Capital," "we," "us," or "our"). By accessing the Site, submitting an application, or opting in to our messaging program, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

2. What We Do

Source Point Capital operates a marketplace that connects operating businesses with third-party lenders. Source Point Capital does not originate loans and is not a lender. Funding amounts, rates, terms, and approvals are determined by third-party lenders based on their own underwriting criteria. Funding is not guaranteed.

3. Eligibility

To use our services, you must:

  • Be at least 18 years old and legally able to enter into a binding contract.
  • Represent an operating business located in the United States.
  • Have authority to provide the information and consent required by our application.

4. Your Representations

You represent and warrant that all information you provide is true, accurate, current, and complete, and that you will update it as needed. You acknowledge that providing false information may result in denial of your application, termination of services, and potential legal action.

5. Application Process

Submitting an application authorizes Source Point Capital to pass your information to lenders in our network for the purpose of evaluating your request. Lenders may perform their own underwriting, including credit checks. We do not perform a hard credit pull; individual lenders may perform a hard pull only after notifying you and obtaining your consent.

Offers you receive, if any, are governed by the terms set by the originating lender. You are not obligated to accept any offer.

6. Fees

You pay nothing to apply. Source Point Capital is compensated by lenders as a success fee when an applicant is funded. No part of this fee is charged to you.

7. Documents You Upload

You retain ownership of the documents you upload. By uploading, you grant Source Point Capital a limited, non-exclusive license to store, process, and share those documents with lenders in our network for the sole purpose of evaluating your application. We do not use uploaded documents for any other purpose.

8. Messaging Terms (SMS/MMS Program)

Program Name. Source Point Capital.

Program Description. When you provide your mobile number during the application and opt in, Source Point Capital may send SMS or MMS messages about your application, including status updates, document requests, funding offers from our lender network, appointment reminders, and related transactional and customer-care messages.

Opt-Out. You can cancel the SMS service at any time. Simply text STOP to any message you receive from us. Upon sending STOP, we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Help. If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or contact us at support@sourcepointcap.com.

Carriers. Carriers are not liable for delayed or undelivered messages.

Message and Data Rates. Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

Privacy. For privacy-related inquiries, please refer to our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, except for aggregators and providers of the text message services.

Compliance. Our messaging program complies with applicable industry standards, including the CTIA Messaging Principles and Best Practices, and with applicable law including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.

9. ECOA Notice

Source Point Capital complies with the Equal Credit Opportunity Act (ECOA). We do not discriminate against any applicant on the basis of race, color, religion, national origin, sex, marital status, age (provided the applicant has the capacity to enter into a binding contract), because all or part of the applicant's income derives from any public assistance program, or because the applicant has in good faith exercised any right under the Consumer Credit Protection Act. The federal agency that administers compliance with this law concerning this creditor is the Federal Trade Commission, Equal Credit Opportunity, Washington, DC 20580.

10. Prohibited Conduct

You agree not to:

  • Submit false, misleading, or fraudulent information.
  • Use the Site to transmit malware or interfere with its operation.
  • Access the Site or any data by automated means without our written consent.
  • Reverse engineer, scrape, or copy the Site for competing purposes.
  • Use the services in violation of any applicable law or regulation.

11. Intellectual Property

The Site, including its design, logos, text, graphics, and code, is owned by Source Point Capital or its licensors and is protected by United States and international intellectual property laws. No license is granted except the limited right to use the Site for its intended purpose.

12. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SOURCE POINT CAPITAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Source Point Capital does not guarantee that an applicant will receive an offer or that any particular funding terms will be available.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOURCE POINT CAPITAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.

14. Indemnification

You agree to indemnify and hold harmless Source Point Capital and its officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your use of the Site, your application, or your breach of these Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware, except as otherwise required by applicable law.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above indicates when they were most recently revised. Material changes will be communicated through the Site. Continued use after changes constitutes acceptance.
